Overview
Allocofi Limited, a company incorporated in the British Virgin Islands (BVI), is the issuer of Alloco ETFT tokens described on this page. An ETFT is an onchain-issued certificate representing participation in a structured product under its applicable terms. Purchasing an ETFT does not give the holder direct ownership of the underlying securities. The product’s governing terms determine the holder’s contractual rights and the issuer’s obligations. This page explains the issuance and operating arrangements. It is not a standalone subscription agreement or a complete statement of the rights attached to a particular ETFT.Issuer information
Alloco is the platform and brand name used in the interface and documentation. For the issuance arrangements described here, the relevant legal entity is Allocofi Limited.
Incorporation in the BVI identifies the company’s jurisdiction. It does not, by itself, establish regulatory approval of an ETFT or authorization for every activity described in the documentation.
Product assets and accounts
Product assets are deployed according to the relevant ETFT’s methodology and operating terms. The wallet holding an investor’s ETFT tokens is distinct from the accounts and wallets holding the underlying product assets.Securities and Alpaca
For products using supported securities, Alpaca provides the securities execution and account-service path. The relevant securities, cash, and settlement items are held or recorded through Allocofi Limited’s applicable brokerage account arrangements, subject to the account and service agreements. Purchasing an ETFT does not open a personal Alpaca account for the holder or make the holder the registered owner of the underlying securities. The holder does not obtain direct trading or withdrawal authority over the issuer’s brokerage account. References to Alpaca describe its role in the underlying account and execution arrangements. They do not represent an endorsement or guarantee of an Alloco ETFT.Hyperliquid and derivatives
For products using Hyperliquid, the allocated assets and collateral are held through the wallet established and controlled by Allocofi Limited for that activity. This is an issuer-controlled wallet arrangement; the wallet address alone does not establish independent third-party custody. Positions, collateral, funding payments, fees, and settlement proceeds are subject to the relevant market and contract mechanics. A derivative referencing a company does not give the ETFT holder shares in that company or a right to receive shares at an IPO. Margin requirements, liquidation, position close-out, and venue availability can affect the amount and timing of assets available for redemption. Not all product assets are held through Alpaca. See Execution venues for the distinction between securities and derivatives implementations.Onchain issuance and delivery
Allocofi Limited mints and issues ETFT tokens on the supported networks. Smart contracts record and deliver tokens; they do not replace the product’s governing terms or the issuer’s contractual obligations. A confirmed contribution transaction does not, by itself, mean that underlying execution is complete or that tokens are ready for delivery. Conversion, execution, and reconciliation may be required before an order becomes Claimable. The primary order lifecycle is Quote → Processing → Claimable → Completed. Claiming an established token entitlement does not create a second economic interest. Use only the networks and token contracts identified through Alloco’s official channels. See Minting an ETFT and Official Domains.Token-holder rights
The rights attached to an ETFT arise from its applicable governing terms. Holding the token does not, by itself, provide:- Shares or voting rights in Allocofi Limited.
- Direct ownership or shareholder voting rights in an underlying company.
- A personal brokerage account or direct contractual relationship with an execution venue.
- Control over, or direct withdrawal rights from, the issuer’s accounts and wallets.
- A right to platform revenue or profits outside the product entitlement expressly described in its terms.
