# Legal & Compliance

## Overview

**Allocofi Limited**, a company incorporated in the **British Virgin Islands (BVI)**, is the issuer of Alloco ETFT tokens described on this page.

An ETFT is an onchain-issued certificate representing participation in a structured product under its applicable terms. Purchasing an ETFT does not give the holder direct ownership of the underlying securities. The product's governing terms determine the holder's contractual rights and the issuer's obligations.

This page explains the issuance and operating arrangements. It is not a standalone subscription agreement or a complete statement of the rights attached to a particular ETFT.

## Issuer information

| Item | Arrangement |
| :- | :- |
| Legal issuer | Allocofi Limited |
| Jurisdiction of incorporation | British Virgin Islands |
| Onchain issuance | Allocofi Limited issues ETFT tokens through the applicable smart contracts |
| Product assets | Held through Allocofi Limited's applicable accounts and wallets |
| Securities execution and account services | Alpaca, for supported securities and applicable products |
| Hyperliquid activity | Conducted through a wallet established and controlled by Allocofi Limited |

Alloco is the platform and brand name used in the interface and documentation. For the issuance arrangements described here, the relevant legal entity is Allocofi Limited.

Incorporation in the BVI identifies the company's jurisdiction. It does not, by itself, establish regulatory approval of an ETFT or authorization for every activity described in the documentation.

## Product assets and accounts

Product assets are deployed according to the relevant ETFT's methodology and operating terms. The wallet holding an investor's ETFT tokens is distinct from the accounts and wallets holding the underlying product assets.

### Securities and Alpaca

For products using supported securities, Alpaca provides the securities execution and account-service path. The relevant securities, cash, and settlement items are held or recorded through Allocofi Limited's applicable brokerage account arrangements, subject to the account and service agreements.

Purchasing an ETFT does not open a personal Alpaca account for the holder or make the holder the registered owner of the underlying securities. The holder does not obtain direct trading or withdrawal authority over the issuer's brokerage account.

References to Alpaca describe its role in the underlying account and execution arrangements. They do not represent an endorsement or guarantee of an Alloco ETFT.

### Hyperliquid and derivatives

For products using Hyperliquid, the allocated assets and collateral are held through the wallet established and controlled by Allocofi Limited for that activity. This is an issuer-controlled wallet arrangement; the wallet address alone does not establish independent third-party custody.

Positions, collateral, funding payments, fees, and settlement proceeds are subject to the relevant market and contract mechanics. A derivative referencing a company does not give the ETFT holder shares in that company or a right to receive shares at an IPO.

Margin requirements, liquidation, position close-out, and venue availability can affect the amount and timing of assets available for redemption. Not all product assets are held through Alpaca.

See [Execution venues](/execution-venues) for the distinction between securities and derivatives implementations.

## Onchain issuance and delivery

Allocofi Limited mints and issues ETFT tokens on the supported networks. Smart contracts record and deliver tokens; they do not replace the product's governing terms or the issuer's contractual obligations.

A confirmed contribution transaction does not, by itself, mean that underlying execution is complete or that tokens are ready for delivery. Conversion, execution, and reconciliation may be required before an order becomes Claimable.

The primary order lifecycle is **Quote → Processing → Claimable → Completed**. Claiming an established token entitlement does not create a second economic interest.

Use only the networks and token contracts identified through Alloco's official channels. See [Minting an ETFT](/products/mint) and [Official Domains](/started/official-domains).

## Token-holder rights

The rights attached to an ETFT arise from its applicable governing terms. Holding the token does not, by itself, provide:

* Shares or voting rights in Allocofi Limited.
* Direct ownership or shareholder voting rights in an underlying company.
* A personal brokerage account or direct contractual relationship with an execution venue.
* Control over, or direct withdrawal rights from, the issuer's accounts and wallets.
* A right to platform revenue or profits outside the product entitlement expressly described in its terms.

The governing terms determine redemption rights, transfer conditions, suspension provisions, termination procedures, and the treatment of holder claims. The onchain form of a token does not, by itself, determine its legal classification.

## Product accounting and issuer risk

Product accounting identifies the assets, liabilities, income, expenses, and economic units attributable to each ETFT. Product NAV reflects this accounting under the applicable valuation methodology.

Separate accounting records, token contracts, or wallets do not, by themselves, establish legal asset segregation or protection from the issuer's creditors. This page does not promise bankruptcy protection, priority of repayment, or a guaranteed recovery amount.

If the issuer or a relevant service provider becomes insolvent, the treatment of assets and holder claims depends on the governing agreements and applicable law. Access to assets and redemption may be delayed or impaired.

A visible wallet balance is not a complete statement of Product Net Assets: positions, collateral commitments, liabilities, accrued costs, and unsettled items must also be considered. See [Pricing & NAV](/pricing-nav) and [Risk & Disclosures](/risk-disclosures).

## Redemption and settlement

Redemption takes place through the product's supported process. It is distinct from a direct withdrawal from a brokerage account or issuer wallet, and from selling an ETFT in a secondary market.

The final redemption outcome depends on the applicable product terms, actual execution, conversion, fees, and availability of assets for settlement. Indicative valuations and quotes are not guarantees of the final amount received.

Blockchain transfers, securities trades, and venue settlement do not form a single automatically reversible transaction. A completed trade does not necessarily make the proceeds immediately withdrawable.

See [Redeeming an ETFT](/products/redeem), [Fees](/fees), and [Trading hours & order execution](/trading-hours-and-order-execution).

## Eligibility and wallet screening

Access is subject to the [Eligibility](/started/eligibility) requirements and applicable product and platform terms. The ability to connect a wallet, transfer a token, or interact with a smart contract does not establish that a person is eligible to use the product.

Alloco screens wallet addresses for anti-money laundering and sanctions-related risk. Wallet screening evaluates address and transaction indicators; it does not, by itself, establish the identity of the person controlling a wallet or verify beneficial ownership.

This page does not state that wallet screening satisfies every applicable compliance obligation or that identity verification is never required. Any additional information or verification required for access must be handled under the applicable terms and procedures.

## Regulatory and investment considerations

ETFT is Alloco's product terminology. It does not mean that a product is a registered ETF, listed on a securities exchange, or approved by a regulator.

Neither BVI incorporation, onchain issuance, nor the use of a brokerage or execution venue constitutes regulatory approval of the product. This page makes no representation that an ETFT is available for unrestricted distribution in every jurisdiction.

ETFTs are not bank deposits. Capital, investment returns, redemption timing, and secondary-market liquidity are not guaranteed. Product values may fall, and holders may lose some or all of their investment.

The documentation provides general product information, not personalized investment, legal, or tax advice. Review the product's methodology, fees, and risks before participating.

## Applicable documents and inquiries

Read this page together with the relevant product specification, governing terms, methodology, and risk disclosures. The applicable governing terms determine legal rights and obligations; general documentation explains how the product operates.
